  1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") are a legally binding agreement between you and Genda Software Incorporated ("Genda," "we," "us," or "our") governing your access to and use of the Genda platform, websites, applications, AI features, educational tools, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of a school, institution, business, or other organization, you represent that you are authorized to bind that entity to these Terms.

  1. THE SERVICES

Genda provides AI-assisted educational products and related tools, which may include:

  • AI tutoring, chat, voice, and real-time learning experiences

  • Academic Assistant, SmartSets, SmartCards, SmartPlans, SmartText, SmartTeach, learning bots, and related educational workflows

  • Teacher, student, classroom, subsection, discussion, and progress-tracking features

  • File repository, content upload, document import, and educational material generation features

  • Collaboration, whiteboard, diagram, calendar, assessment, transcript, and content-sharing features

  • Institution, educator, and classroom management tools

  • Integrations with third-party providers and services

Features, models, providers, plan limits, pricing, and availability may change over time. Some features may only be available to certain users, plans, institutions, or geographies.

  1. ELIGIBILITY, MINORS, AND ACCOUNTS

3.1 Eligibility

You may use the Services only if you can form a binding agreement under applicable law and your use is not prohibited by applicable law.

If you are under the age of majority in your jurisdiction, you may use the Services only with authorization from a parent, guardian, school, or other legally authorized adult or institution, as applicable.

3.2 Account Creation and Access

Depending on the feature or onboarding path, accounts may be created through:

  • Username and password registration

  • Email-based or institution-managed account creation

  • Single sign-on, OAuth, magic links, invitations, or other authentication methods

  • Institution, teacher, or administrator provisioning

You must provide accurate information and keep it current.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity that occurs under your account

  • Promptly notifying us of unauthorized access or suspected security incidents

  • Ensuring your access to the Services complies with your institution's policies and applicable law

We may suspend or require re-verification of accounts if we reasonably suspect unauthorized access, fraud, abuse, or policy violations.

  1. PLANS, BILLING, PAYMENTS, AND TRIALS

4.1 Plans

Genda may offer free plans, paid plans, educator plans, institution-managed access, trials, promotions, and enterprise or custom offerings. Examples of plan names currently used in the product may include Core, Pro, Pro+, and Max, but available plans may change.

If you access the Services through a school or institution, separate order forms, data processing terms, or institutional agreements may apply. In the event of a conflict between these Terms and a separately executed institutional agreement, the institutional agreement will control to the extent of the conflict.

4.2 Pricing

Pricing, billing intervals, included features, usage allowances, and plan limits are as displayed:

  • On the pricing page

  • In the checkout flow

  • In the authenticated billing flow

  • In an applicable order form or institutional agreement

We may change prices, plan structures, feature availability, or limits at any time, subject to applicable law and any required notice obligations.

4.3 Payment Processing

Paid subscriptions and billing features are processed through third-party payment providers, including Stripe. By submitting payment information or using a paid plan, you authorize us and our payment processors to charge the applicable payment method for recurring and one-time charges, taxes, and other amounts due.

4.4 Renewals, Changes, and Taxes

Unless otherwise stated at purchase, paid subscriptions renew automatically at the end of each billing period until canceled.

You are responsible for applicable taxes, duties, and government charges unless the pricing specifically states otherwise.

We may allow upgrades, downgrades, scheduled plan changes, or cancellation at period end. The timing and effect of those changes may depend on your current plan, payment status, active trial, and billing provider rules.

4.5 Trials and Promotions

We may offer trials, referral credits, promotional access, educator access, beta access, or temporary plan upgrades. Unless expressly stated otherwise:

  • Trials and promotions may be limited, revoked, modified, or discontinued at any time

  • They may require a payment method

  • They may convert, downgrade, or cancel automatically at the end of the trial or promotional period

  • Eligibility rules may apply

4.6 Refunds

Except as required by applicable law or expressly stated by us in writing, fees are non-refundable.

4.7 Cancellation

You may stop using the Services at any time. If a self-service cancellation flow is available for your plan, you may use that flow. Otherwise, contact support at support@genda.cloud.

Canceling a paid subscription generally stops future renewals, and access to paid features may continue until the end of the current paid period unless otherwise stated.

  1. ACCEPTABLE USE

You may use the Services only for lawful purposes and in compliance with these Terms, your institution's rules, and applicable law.

You must not:

  • Use the Services to violate law, regulation, or third-party rights

  • Upload, create, share, or transmit unlawful, infringing, abusive, harassing, defamatory, obscene, deceptive, or harmful content

  • Use the Services to distribute malware, malicious code, spam, or unauthorized advertising

  • Impersonate another person or misrepresent your identity, authority, or affiliation

  • Interfere with, disrupt, degrade, or overload the Services or related systems

  • Bypass, probe, disable, defeat, or circumvent security, authentication, access controls, quotas, or usage limits

  • Scrape, crawl, harvest, benchmark, mirror, or systematically extract data or outputs from the Services

  • Use bots, scripts, or automated means to access the Services except through expressly authorized interfaces

  • Reverse engineer, decompile, disassemble, model-extract, or attempt to derive source code, prompts, system instructions, model-routing logic, underlying models, or other proprietary aspects of the Services

  • Use the Services to build, train, evaluate, improve, or inform a competing product, service, model, or dataset

  • Access the Services if you are a direct competitor for competitive analysis or benchmarking without our prior written consent

  • Use the Services to cheat, plagiarize, or violate academic integrity rules

  • Upload personal data or confidential information of others without appropriate rights and permissions

  • Use the Services in a way that could create risk of harm to minors, schools, users, or the public

We may monitor for abuse, fraud, misuse, and security threats and may enforce technical or policy limits at any time.

  1. USER CONTENT, CONNECTED CONTENT, AND AI OUTPUT

6.1 Your Content

You retain ownership of content you submit, upload, connect, or create through the Services ("User Content"), subject to the rights you grant us in these Terms and any applicable institutional arrangements.

6.2 License to Genda

You grant Genda a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, display, perform, distribute, and otherwise use User Content as reasonably necessary to:

  • Provide, operate, secure, maintain, and improve the Services

  • Support AI, retrieval, memory, collaboration, classroom, and content-generation features

  • Troubleshoot, debug, monitor, and prevent fraud or abuse

  • Comply with law, enforce these Terms, and protect rights and safety

  • Develop related product functionality, analytics, and service improvements

6.3 Connected Services and Imported Content

If you connect third-party services such as Google Drive, Notion, or similar providers, you authorize us to access, import, process, store, display, and use selected files, metadata, tokens, and related content as needed to operate those integrations and associated features.

You are responsible for ensuring you have the rights and permissions needed to connect and use third-party content through the Services.

6.4 AI Output

The Services may generate text, images, plans, recommendations, explanations, summaries, transcripts, or other output ("Output").

Subject to your compliance with these Terms and applicable law, you may use Output generated for you for your lawful personal, educational, internal, or institution-authorized purposes.

Output may not be unique. The same or similar output may be generated for other users. We do not guarantee that any Output is protectable by intellectual property law, exclusively available to you, or free of third-party claims.

6.5 Content Monitoring and Removal

We are not obligated to monitor User Content or Output, but we may review, block, remove, restrict, or preserve content if we reasonably believe it violates these Terms, institutional rules, applicable law, or creates risk for users, schools, or Genda.

6.6 Feedback

If you provide suggestions, feedback, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation to you.

  1. GENDA INTELLECTUAL PROPERTY

The Services, including the software, interfaces, branding, designs, documentation, workflows, prompts, model-routing systems, compiled datasets, and other materials provided by Genda, are owned by Genda or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purposes.

Except as expressly permitted by us in writing, no rights are granted to you in the Services other than the limited right to use them under these Terms.

  1. THIRD-PARTY SERVICES

The Services rely on third-party providers, platforms, models, and infrastructure. We are not responsible for third-party services, third-party content, or third-party terms.

Your use of third-party services, including payment providers, authentication providers, integrations, communication tools, and AI providers, may also be subject to those providers' terms and privacy policies.

We may add, replace, or remove third-party providers at any time.

  1. PRIVACY

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, store, disclose, and protect information.

The Services use cookies, session technologies, local storage, logs, analytics, and similar technologies as described in the Privacy Policy.

If you use the Services through a school or institution, your institution may also have policies or agreements that govern your use of the Services and your data.

  1. BETA, EARLY ACCESS, AND EXPERIMENTAL FEATURES

Some features may be labeled or treated as beta, early access, experimental, preview, or similar. Those features:

  • May be incomplete, unstable, or unavailable at times

  • May change materially or be discontinued without notice

  • May have reduced support, backup, or retention expectations

  • Are provided "as is" and "as available" to the maximum extent permitted by law

  1. EDUCATIONAL AND AI DISCLAIMERS

The Services are designed to support education, not replace human judgment, teaching, supervision, grading, or institutional oversight.

You acknowledge and agree that:

  • AI systems may generate inaccurate, incomplete, biased, outdated, or fabricated content

  • Educational content, recommendations, or summaries may not reflect your institution's standards, grading rules, or current curriculum

  • You must independently review important outputs before relying on them

  • You are solely responsible for complying with academic integrity and institutional policies

  • Genda does not guarantee any educational outcome, grade improvement, course completion, admission result, or professional result

  • The Services are not a substitute for legal, medical, mental health, crisis, or other professional advice

To the maximum extent permitted by law, Genda is not responsible for low grades, failed assignments, academic discipline, plagiarism findings, misconduct allegations, or other educational consequences arising from your use of the Services.

  1. WARRANTIES DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GENDA AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WE DO NOT GUARANTEE THAT ANY FILE, MESSAGE, OUTPUT, CHAT, CLASSROOM RECORD, OR OTHER CONTENT WILL BE RETAINED, DELIVERED, EXPORTABLE, OR AVAILABLE AT ANY PARTICULAR TIME.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • GENDA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, EDUCATIONAL OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS

  • GENDA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO GENDA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100

These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose, except to the extent prohibited by applicable law.

  1. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Genda, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • Your use or misuse of the Services

  • Your User Content or connected content

  • Your violation of these Terms

  • Your violation of law or third-party rights

  • Your breach of institutional rules, academic policies, or separate agreements applicable to your use of the Services

  1. SUSPENSION AND TERMINATION

15.1 By You

You may stop using the Services at any time. If you want to close an account or cancel a paid subscription, use any available in-product flow or contact support.

15.2 By Genda

We may suspend, limit, or terminate access to the Services, remove content, or disable features immediately, with or without notice, if we reasonably determine:

  • You violated these Terms or applicable law

  • Your use creates legal, security, operational, or reputational risk

  • Your account is involved in fraud, abuse, academic misconduct, or unauthorized activity

  • Payment obligations are overdue

  • We are required to do so by law, a court, an institution, or a service provider

  • Continuing to provide the Services is no longer commercially or technically feasible

15.3 Effect of Termination

Upon termination, your right to use the Services ends immediately. We may retain and use information after termination as permitted by law, the Privacy Policy, backup practices, institutional agreements, fraud-prevention needs, billing obligations, and legitimate business purposes.

Sections that by their nature should survive termination will survive, including sections on intellectual property, privacy, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms.

  1. CHANGES TO THE SERVICES OR THESE TERMS

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.

  1. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

Except where prohibited by applicable law or superseded by a separate written agreement, you agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

  1. GENERAL TERMS

18.1 Entire Agreement

These Terms, together with any incorporated policies and any applicable order form or written agreement with Genda, form the entire agreement between you and Genda regarding the Services.

18.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, in whole or in part, without restriction.

18.4 Force Majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including internet or utility failures, cyberattacks, labor disruptions, natural disasters, war, terrorism, government action, epidemics, or provider outages.

18.5 Notices

We may provide notices to you through the Services, by email, or by other reasonable means. Notices to Genda must be sent to support@genda.cloud unless we specify another contact method in writing.
